User Agreement.

1. Agreement to these terms

This User Agreement (“Agreement”) is between you (the individual or entity using the App, “you”) and Versus Paint (“we”, “us”). By installing, connecting to or using the Versus Paint QuickBooks app (the “App”), you agree to this Agreement. If you use the App on behalf of a business, you confirm you are authorised to bind that business.

2. The App

The App connects your Intuit QuickBooks company data with Versus Paint systems to provide quoting, ordering or product features as described in the App listing. We may add, change or remove features, provided the core functionality you signed up for continues to be available.

3. Your QuickBooks account and data

• To use the App, you must maintain a valid QuickBooks account and grant the App the permissions it requests. You may revoke access at any time from your QuickBooks connection settings.
• You are responsible for the accuracy of the data in your QuickBooks company and for keeping your QuickBooks login secure.
• We process your QuickBooks data only as described in our Privacy Policy and the permissions you grant.

4. Acceptable use

You agree not to:

• Use the App for any unlawful purpose or in breach of any applicable law, including POPIA.
• Interfere with, reverse engineer, or attempt to gain unauthorised access to the App or related systems.
• Resell, sublicense or make the App available to third parties without our written permission.
• Use the App to transmit malware, spam or content that infringes the rights of others.

5. Fees and orders

The App itself is provided under the terms shown at the time of connection. Any products, coatings or services you order through or in connection with the App are subject to Versus Paint’s standard quotations, pricing and terms of sale, which we will provide on request. Prices and availability may change without notice.

6. Intellectual property

We own all rights in the App, the Versus Paint brand and our content. Intuit owns QuickBooks and its related intellectual property. You retain ownership of your business data. Nothing in this Agreement transfers ownership of any of these rights to you.

7. Third-party services

The App depends on Intuit QuickBooks and may depend on other third-party services. Their availability, terms and privacy practices are outside our control, and we are not responsible for their acts or omissions.

8. Disclaimer of warranties

The App is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the App will be uninterrupted, error-free or that data sync will be without delay or fault.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, special, incidental or consequential damages, or for lost profits or lost data, arising from this Agreement. Our total liability for any claim relating to the App is limited to the greater of (a) the amounts you paid us for the App in the 12 months before the claim, or (b) ZAR 1,000. Nothing in this Agreement limits liability that cannot be limited by law, including for gross negligence or wilful misconduct under the Consumer Protection Act, 68 of 2008.

10. Term and termination

• This Agreement applies while you use the App.
• You may stop using the App and disconnect it from QuickBooks at any time.
• We may suspend or terminate your access if you breach this Agreement, if your QuickBooks authorisation ends, or if we discontinue the App, with reasonable notice where practicable.
• Sections 6, 8, 9 and 12 survive termination.

11. Consumer rights

If you are a consumer as defined in the Consumer Protection Act, 68 of 2008, nothing in this Agreement limits any right you have under that Act, including the right to fair, just and reasonable terms.

12. Governing law and disputes

This Agreement is governed by the laws of South Africa. The parties will first attempt to resolve any dispute in good faith, and failing resolution, the dispute will be brought before the competent courts of South Africa.

13. Changes to this Agreement

We may update this Agreement. If a change is material, we will notify you through the App or by email at least 14 days before it takes effect. Continuing to use the App after that means you accept the updated terms.
